Terms of Service — Kydos Health L.L.C.

Our Position
KYDOS is built for athletes who take their training seriously. These Terms exist to protect you and to hold us accountable. We don't hide obligations in fine print. Everything you need to know about using KYDOS is stated plainly below.
1. Agreement
By downloading, installing, or using the KYDOS app ("App" or "Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the App.
Kydos Health L.L.C. ("KYDOS," "we," "us") will notify you of material changes via in-app notice at least 14 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance.
2. License
Kydos Health L.L.C. grants you a limited, non-exclusive, non-transferable, revocable license to download and use the App — including any companion Apple Watch or Wear OS app — on your personal device(s) for your personal, non-commercial use only.
This license does not include the right to:
- Sublicense, sell, resell, or transfer the App or any content within it
- Modify, adapt, or create derivative works based on the App
- Use the App to build a competing product or service
- Extract, scrape, or systematically copy content or data from the App
All rights not expressly granted here are reserved to Kydos Health L.L.C. Your license terminates automatically upon any violation of these Terms or upon account termination.
3. Eligibility and Age Policy
You must be at least 13 years old to use the App (16 in the EEA/UK). By using the App, you confirm you meet this requirement.
Enforcement: The App actively verifies your age at account creation. Users who indicate an age below 13 are blocked from creating an account — no data is collected for blocked users. Users in the EEA/UK who indicate an age of 13–15 are also blocked. Users aged 13–17 (minors) may use the App subject to the following default protections applied automatically: Stealth Mode is enabled by default (location not transmitted, workouts stored on-device only); leaderboard participation and the referral program are disabled by default. Note: community features and public route sharing are not available in this version of KYDOS for any user (planned for a future update) and are therefore also not available to minor accounts.
Parental awareness: If you are a minor, you acknowledge that a parent or guardian is aware of your use of this App. If you believe a child under 13 has created an account, contact privacy@kydoshealth.com and we will delete it immediately.
4. Your Account
You are responsible for your account credentials and all activity under your account. If you believe your account has been compromised, contact us immediately at support@kydoshealth.com.
5. KYDOS Premium

The free trial begins when you provide payment information. After the trial, your subscription begins automatically.
Billing: Subscriptions renew automatically at the end of each billing period unless cancelled at least 24 hours before renewal. Payment is charged to your Apple ID or Google account.
Cancellation: Cancel at any time via Settings > Apple ID > Subscriptions (iOS) or Google Play > Subscriptions (Android). Cancellation stops future renewals. The current period is not refunded.
Refunds: All refund requests are handled by Apple App Store or Google Play Store. KYDOS does not process refunds directly.
Price changes: We will give at least 30 days' notice before changing subscription prices. Continued use after a price change is acceptance of the new price.

Redemption: 50 points = one free month of KYDOS Premium. Maximum 6 free months per calendar year.
How points are earned: Points require sensor-verified activity. Manually entered data does not qualify. All points are calculated and awarded server-side — the app cannot award points directly. Workouts completed in Stealth Mode do not earn points, since they are never synced to our servers — not even after Stealth Mode is later turned off. This is a deliberate privacy trade-off, not a restriction imposed after the fact: Stealth Mode gives you full privacy in exchange for no Glory on that workout.
Abuse: KYDOS reserves the right to revoke points obtained through abuse, fake data, spoofed GPS, or technical exploits, and to modify the points schedule with 30 days' notice.
7. Referrals
When someone subscribes to KYDOS Premium using your referral link, both of you receive one free month of KYDOS Premium.
- Self-referral is not permitted
- One reward per referred user
- Free months do not carry over if your subscription has lapsed
- Credits obtained through abuse or fake accounts will be cancelled
8. What You May Not Do
You agree not to:
- Reverse engineer, decompile, or disassemble the App
- Automate data collection from the App or its APIs
- Fake GPS data, automate workouts, or manipulate the Glory Points system
- Share your account with others
- Submit content that is unlawful, threatening, or infringes on anyone's rights
- Use the App for any illegal purpose
- Interfere with the App's infrastructure
Violations may result in immediate account termination without refund.
9. Health Disclaimer
KYDOS is a fitness and informational tool, not a medical device, medical service, or healthcare provider. KYDOS does not provide medical advice, diagnosis, or treatment. All content, metrics, recommendations, readiness scores, training paces, coaching, and insights are provided for general informational and fitness purposes only and are derived from data you and your devices supply.
Consult a physician before beginning any exercise program. You should seek the advice of a qualified physician or healthcare provider before starting, changing, or stopping any exercise, training, nutrition, or wellness program, and before acting on any information provided by KYDOS, particularly if you have any medical condition, are pregnant, are injured, or are taking medication.
KYDOS's readiness, recovery, training-load, pace, and similar outputs are estimates generated by algorithms from imperfect sensor and self-reported data. They may be inaccurate and must not be relied upon as medically accurate measurements or as a basis for any medical or health decision. Heart-rate, GPS, distance, calorie, and recovery data are estimates and may differ materially from reality.
You assume all risk arising from your physical activity. Exercise carries inherent risks, including serious injury, cardiac events, and death. By using KYDOS you acknowledge these risks and agree that you are solely responsible for exercising within your own limits and stopping if you experience pain, dizziness, or distress. If you think you are having a medical emergency, call your local emergency number immediately.
10. Guardian SOS — Safety Disclaimer
The Guardian SOS feature is a supplemental, best-effort convenience tool. It is NOT an emergency response service, medical-alert system, or life-safety system, and must never be relied upon as one. It does not connect you to 911, emergency services, or any monitoring center.
Guardian SOS depends on factors outside our control, including your device's battery, cellular and internet connectivity, GPS availability, third-party messaging providers, correct contact configuration by you, and operating-system permissions. It may fail to send, may send late, may send inaccurate location, or may not function at all. Do not use KYDOS or Guardian SOS as your sole or primary means of obtaining help in any situation where failure could result in injury or death.
You are responsible for maintaining independent means of emergency communication and for obtaining your emergency contact's consent before designating them as your guardian. To the maximum extent permitted by law, Kydos Health L.L.C. disclaims all liability for any failure, delay, inaccuracy, or unavailability of Guardian SOS, and for any outcome arising from your reliance on it. In any actual or potential emergency, contact professional emergency services directly.
11. Assumption of Risk and Release
To the maximum extent permitted by applicable law, you knowingly and voluntarily assume all risks associated with your use of KYDOS and your physical activities, and you release and hold harmless Kydos Health L.L.C., its members, officers, employees, and agents from any claims, demands, or damages arising out of or related to your use of the Service or your physical activity, except to the extent such claims arise from our gross negligence or willful misconduct or cannot be released under applicable law.
12. Imported Activity Files
You may import GPX and TCX workout files exported from GPS devices or fitness platforms. By importing a file, you confirm that you are the rightful owner of that activity data. Imported data is treated identically to data recorded in the App and is subject to the same privacy protections. KYDOS does not claim ownership of imported activity data.
13. Your Content
You own the content you submit to KYDOS — photos, workout notes, custom routes. By submitting it, you grant KYDOS a limited, non-exclusive, royalty-free license to use that content solely to operate the App. You may delete your content at any time by removing the record or deleting your account.
Shareable workout summaries: The App may generate shareable image cards summarizing your workout results (including distance, duration, pace, Ghost Run outcome, and your username). Sharing these cards is entirely voluntary and user-initiated. When you share a card through your device's native share sheet, the content is transmitted to the destination you choose — KYDOS does not control or receive data from that transmission. Shared cards display only the information visible on the card at the time of sharing; no additional account data is included.
Official Activity Records: The App can generate a plain-text Official Activity Record upon your request, containing your workout's timestamps, distance, duration, pace, heart rate, source label, and a reference ID. This export is voluntary and user-initiated. It is intended for use in virtual race submissions, company wellness programs, and similar contexts. You are responsible for the accuracy of any data you submit to third parties using this export. KYDOS does not guarantee the acceptance of this record by any third party.
14. Privacy
Your use of the App is also governed by our Privacy Policy, incorporated into these Terms by reference.
Our commitment: KYDOS does not sell or share your health data with third parties for commercial purposes. Ever.
iOS Live Activities: On iOS, KYDOS may display real-time workout metrics (elapsed time, distance, pace, Ghost Pacing Delta) on your device's Lock Screen and Dynamic Island via Apple's ActivityKit framework during active workouts. This is a local, on-device display. No data is transmitted to KYDOS or any third party as a result of Live Activity use. When Stealth Mode is active, Live Activity display collapses to a minimal view with no metrics shown. You may disable Live Activities for KYDOS at any time via iOS Settings.
Apple Watch: On iOS, KYDOS syncs health and fitness data from any paired Apple Watch through Apple HealthKit. No new data categories are introduced — Apple Watch reads from the same HealthKit store as the iPhone. You may revoke access at any time via Settings > Privacy & Security > Health > KYDOS. We do not use Apple Watch data to train AI or machine learning models.
Android Health Connect: On Android, KYDOS uses the Android Health Connect API (Google) to read and write health and fitness data, subject to the permissions you grant. You may revoke these permissions at any time via Health Connect > App Permissions > KYDOS.
Profile photo visibility: Your profile photo is private by default — visible only to you. You may opt in to make it visible to other signed-in KYDOS users from your Profile settings. Enabling Stealth Mode overrides this setting and makes your photo private regardless of your preference. Minor accounts (under 18) cannot make their photo public; this restriction is enforced at the database level. Body photos (progress photos) are always private and are never visible to other users.
Social profile information: When you use social features (such as "People I Follow"), the app reads other users' public profile fields — username, display name, Founding Member status, and profile photo if they have enabled the public toggle. Minors and users in Stealth Mode are never shown to others. If you are in Stealth Mode, social surfaces that show other users are hidden from you entirely and you do not appear to others.
EU/EEA/UK Consent: If your device locale indicates an EU/EEA/UK/Switzerland region, you will be presented with an in-app consent screen upon first launch explaining our optional data practices and allowing you to manage your consent preferences. You may update your preferences at any time from Settings > Privacy & Data. Necessary processing required to operate the App (account management, workout tracking, subscription) proceeds on the legal basis of contract performance and does not require optional consent.
15. Our Commitments to You
These are binding commitments, not aspirational statements. Violating them would breach these Terms.
No ads, ever. KYDOS contains no advertising, no ad SDKs, and no ad networks. We do not sell advertising. We do not sell data to data brokers. This will not change.
We will never sell your health data. Your health data is used exclusively to power your KYDOS experience. It is never sold, licensed, or shared with insurers, employers, data brokers, or any third party for commercial purposes. It is never used to train AI or machine learning models.
Free tier is fully functional. KYDOS Premium adds features; it does not restrict or degrade your access to core tracking, safety features, your own data, or your ability to delete your account. We do not gate features that existed as free behind a paywall after the fact.
16. Intellectual Property
The following names, marks, and branding are the exclusive property of Kydos Health L.L.C. and are protected by applicable trademark and intellectual property law:

These Terms grant no license to use any of the above marks, names, or branding in any form. Unauthorized reproduction, imitation, or use in connection with any product, service, or content is prohibited and may result in legal action.
17. No Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, KYDOS HEALTH L.L.C. DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY DATA, METRIC, OR OUTPUT WILL BE ACCURATE OR RELIABLE. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KYDOS HEALTH L.L.C. AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR PERSONAL INJURY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow certain limitations, so portions of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.
19. Indemnification
You agree to indemnify, defend, and hold harmless Kydos Health L.L.C. and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) your physical activity or reliance on any output of the Service.
20. Dispute Resolution, Binding Arbitration, and Class-Action Waiver
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.
Informal resolution first. Before initiating arbitration, you and Kydos Health L.L.C. agree to attempt to resolve any dispute informally for at least sixty (60) days after written notice describing the dispute. Notice to us must be sent to contact@kydoshealth.com.
Binding arbitration. If the dispute is not resolved informally, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small-claims court. The arbitration will be governed by the Federal Arbitration Act.
Class-action waiver. You and Kydos Health L.L.C. agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding.
Mass-arbitration batching. If twenty-five (25) or more similar arbitration demands are submitted by or with the coordination of the same or coordinated counsel, the demands will be administered in staged batches of no more than fifty (50) at a time, to control fees and promote efficient resolution.
Opt-out. You may opt out of this arbitration agreement by sending written notice to contact@kydoshealth.com within thirty (30) days of first accepting these Terms. If you opt out, the governing-law and venue provisions in §21 apply.
Severability. If the class-action waiver is found unenforceable as to a particular claim, that claim will proceed in court, but the rest of this section survives.
21. Governing Law and Venue
These Terms are governed by the laws of the State of Idaho, without regard to conflict-of-laws principles. Subject to the arbitration provisions in §20, any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in Ada County, Idaho, and you consent to personal jurisdiction there.
EU and UK users: Nothing in these Terms limits your rights under EU or UK consumer protection law. EU consumers may bring claims in their home country's courts. Disputes may also be submitted to the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
The 14-day EU right of withdrawal does not apply once a subscription period has begun, as KYDOS is a digital service that begins immediately. The 14-day free trial is separate — you may cancel before it ends at no charge.
22. Termination
KYDOS may suspend or terminate your account immediately for violations of these Terms. You may close your account at any time by deleting it in the App. Your license to use the App ends upon termination.
